4. Project Scope and Changes
Project scope, deliverables, and timelines will be defined in a separate Statement of Work or Service Agreement. Any changes to the agreed scope may result in additional costs and extended timelines. Change requests must be submitted in writing and approved by both parties.
5. Payment Terms
Pricing for our services is custom and will be provided after an initial consultation
Payment schedules will be outlined in your service agreement
Late payments may result in suspension of services and may incur late fees
All fees are non-refundable unless otherwise specified in our Refund Policy
6. Intellectual Property Rights
6.1 Client-Owned IP
Upon full payment, clients will own the custom code, applications, and deliverables specifically created for them as outlined in the service agreement.
6.2 Krivara-Owned IP
Krivara retains ownership of:
Pre-existing tools, frameworks, libraries, and methodologies
General knowledge, techniques, and skills
Templates and reusable components not specifically custom-developed
6.3 Third-Party Components
Some deliverables may include third-party software, APIs, or libraries subject to their own licensing terms.
7. Confidentiality
Both parties agree to maintain confidentiality of proprietary information shared during the course of service delivery.
Confidential information includes business plans, technical data, customer information, and any information marked as confidential.
8. Data Security and Privacy
We take data security seriously. Please refer to our Privacy Policy for detailed information on how we collect, use, and protect your data.
We implement industry-standard security measures to protect client data and infrastructure.
9. Service Level and Support
Support hours and response times are specified in individual service agreements
Business tier clients receive email and chat support
Enterprise tier clients receive priority response with dedicated IT team support
24/7 monitoring services are available for applicable service tiers
10. Warranties and Disclaimers

We warrant that services will be performed with reasonable care and skill in accordance with industry standards.
10.2 Disclaimer
Except as expressly stated, our services are provided "as is" without warranties of any kind, either express or implied.
We do not guarantee uninterrupted or error-free service, though we will make reasonable efforts to resolve issues promptly.
11. Limitation of Liability

Our total liability for any claims arising from our services shall not exceed the amount paid by the client for the specific services giving rise to the claim
We shall not be liable for any indirect, incidental, consequential, or special damages
We are not liable for damages resulting from client's misuse of deliverables, third-party services, or circumstances beyond our reasonable control
12. Indemnification
You agree to indemnify and hold harmless Krivara Technologies, its employees, and contractors from any claims, damages, or expenses arising from:
Your use of our services in violation of these Terms
Your violation of any applicable laws or regulations
Infringement of third-party rights by content or data you provide
13. Term and Termination
These Terms remain in effect while you use our website or services
Either party may terminate a service agreement as specified in that agreement
Upon termination, you must pay for all services rendered up to the termination date
Provisions regarding intellectual property, confidentiality, and limitation of liability survive termination
14. Force Majeure
Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including natural disasters, acts of government, power failures, internet disruptions, or other force majeure events.
15. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of
India, without regard to conflict of law principles. Any disputes arising from these Terms or our services shall be resolved through good faith negotiation, and if necessary, through binding arbitration or in the courts of Telangana State, India.

Continued use of our services after changes constitutes acceptance of the modified Terms.
17. Entire Agreement
